Charles Wolofsky is Managing Partner of Wolofsky PLLC, a full-service law firm with expertise spanning financial regulation, corporate and transactional law, intellectual property, technology transactions, real-estate transactions, civil litigation, tax, restructuring and reorganization, servicing high-net-worth individuals, entrepreneurs, private equity firms, and corporations with a business-first approach that combines sophisticated legal counsel with practical commercial insight.
Under Charles’ leadership, the firm advises on complex cross-border transactions, mergers and acquisitions, securities offerings, crypto-currency regulation and emerging technology matters. Charles has advised and structured dozens of securities offerings and regularly advises clients on maintaining compliance with relevant securities regulations, as well as their KYC/AML obligations. Charles has advised many clients in the crypto-currency sector on structuring their products to comply with the rapidly evolving regulatory landscape.
In addition to his transactional practice, Charles maintains an active litigation practice, representing clients in complex, cross-border commercial disputes. His litigation experience encompasses contract enforcement, fiduciary duty actions, Takings Actions against government entities, and international arbitration proceedings. This dual expertise in both structuring transactions and enforcing agreements provides clients with comprehensive representation throughout all stages of the business lifecycle.
Prior to his current role, Charles served as CEO of Ctrl+e, where he assembled and led a multi-disciplinary engineering team to develop innovative building management technology that was awarded multiple patents and earned UL certification. He also served as Head of Business Development, Legal & Operations at Boloro Global Limited, which licensed its authentication and payments technology to financial institutions, government entities and telecoms with a presence across four continents.
Charles also maintains a strong commitment to legal education and scholarship. Charles began his career as a Dean’s Fellow at the Fordham University School of Law, where he managed the law school’s ABA reaccreditation process. Charles continues to serve as a founding member of the Fordham Law Entrepreneurial Advisory Council, which established the Fordham Entrepreneurial Law Clinic, and is a guest lecturer at the law school. Charles received his J.D. from the Fordham University School of Law where he served as an Associate Editor of the Fordham Intellectual Property Law Journal.

Recent Representative Matters
- Restructured a proprietary trading firm’s corporate structure to ensure compliance with the Investment Company Act of 1940. The matter involved designing and implementing a structure that avoided classification as an Investment Company while addressing other complex regulatory issues.
- Advised U.S.-based technology on conducting a securities offering to foreign investors. Successfully structured and completed a private placement offering under a Regulation S exemption, facilitating cross-border investment while ensuring compliance with U.S. securities laws.
- Advised a cryptocurrency client on the regulatory implications of integrating NFTs into a gaming application. The engagement included structuring the offering of NFTs and the gaming platform in a manner that would not be deemed a securities offering, and drafting game rules designed to prevent classification as a Money Services Business, which would have triggered KYC/AML obligations.
- Counseled a cryptocurrency client on the launch of a staking program. Advised on structuring the program to avoid treatment as a securities offering and guided the design of the staking portal to reduce the risk of broker-dealer classification under U.S. securities regulations.
- Advised a storied 200-year-old large retailer on a comprehensive restructuring. The engagement included implementing strategies for intellectual property risk mitigation and structuring the company’s capital raise to strengthen its long-term financial position and brand value.
- Advised a high-net-worth client on the restructuring of a complex discretionary off-shore trust. The engagement included strategic advice on trust structure, allocation of distributable and undistributed net income (DNI/UNI), and U.S. tax considerations relating to a 1031 Exchange and FIRPTA obligations. The matter also involved coordination with UK counsel to navigate the application of UK anti-avoidance rules and ensure compliance across jurisdictions.
- Advised an international client with operations and subsidiaries in the U.S. and abroad on a comprehensive corporate restructuring to enhance operational efficiency and governance transparency. The engagement included a strategic reorganization of the client’s business and capital structure, remediation of fragmented and outdated corporate documentation, and the resolution of a longstanding dispute between two founding board members.
- Advised a foreign equipment manufacturer in connection with a pre-litigation Takings claim against a U.S. federal agency. The matter arose after the agency terminated its contract with a U.S. counterparty and seized equipment owned by the client that had not been fully paid for. Successfully negotiated a favorable multi-million-dollar settlement with the federal agency, recovering more than 60% without initiating formal litigation.
